Recitals

  • 1) The following are the terms and conditions (“Terms and Conditions”) for the prize giveaway operated by AeroCloud Systems Limited (“AeroCloud”), company number 10568194 whose registered office is at Third Floor, Highbank House, 2275 Exchange Street, Stockport, SK3 0ET

 

 

Eligibility Rules

3) To enter the prize giveaway, individuals must:

  • Be aged 18 years or over;
  • Hold a valid driving licence
  • Not be an employee, agent, director, contractor, or a member of family of an employee, agent, director or contractor of AeroCloud. Any entries by such persons will be invalid;
  • Not be an employee, agent, director, contractor of a competing business of AeroCloud;
  • Hold a valid entry pass for PTE 2025; and
  • Be able to comply with all the Terms and Conditions

 

  • 4) Whether all relevant eligibility requirements have been met, will always be decided in AeroCloud’s sole discretion.

 

Entry

  • 5) Each individual must complete the online entry form to AeroCloud’s reasonable satisfaction including;
  • Full legal name;
  • Company/Organisation details;
  • Valid work email address; and
  • Valid contact number

 

  • 6) All entries to the prize giveaway must be received by AeroCloud between 9am CET on Tuesday 8th April 2025 to 3pm Wednesday 9TH April 2025 CET.

 

  • 7) The prize giveaway is limited to one entry per person, and entrants may not enter on behalf of another person, group company or syndicate. Entrants must use their legal name, as well as an official work email address. In any event, AeroCloud reserves the right to eliminate any entries which, in its own reasonable opinion, does not fulfil the criteria in section 5 above.

 

  • 8) Entrants may not use automated entry software or any other mechanical or electronic means that permits any person to make multiple entries to the prize giveaway.

 

  • 9) AeroCloud takes no responsibility for any technical, communication or other problems that might prevent the receipt of the entrant’s details, and accepts no responsibility for entries which are either not visible due to entrants’ privacy settings, or incomplete.
  • 10) For the avoidance of doubt, this prize giveaway will not be linked to any business opportunities and is not linked in any way for the fostering, continuation or development or any business opportunity. This giveaway is independent of any business of any entrants and there is no expectation of any business development opportunities that may result from the winning entrant.

 

Winning

  • 11) The prize winner of the prize giveaway will be chosen from all valid entries.

 

  • 12) The winner of the prize giveaway will be announced on the AeroCloud stand 1510 at 3:45pm CET that they have won. The winning entrant must be present at the stand in order to collect their prize. In the event that such individual is not present or does not make it to the stand within any prescribed deadline, AeroCloud reserves the right to award the prize to another winning entry.

 

  • 13) The winning entrant must provide their address and contact details to AeroCloud within 3 days of the prize giveaway in order to receive the prize. Should a prize winner’s contact details change, it is their responsibility to notify AeroCloud.

 

14) The winning entrant has the right to decline the prize, or request that the value of the prize be donated to a charity of their choice.

 

  • 15) The prize is a €10,000 credit with the winning entrant’s local Ducati dealer. The winning entrant shall then liaise with the local Ducati dealer to spend the credit how they please. The winning entrant shall be liable for all costs, fees and charges exceeding the €10,000 credit.

 

  • 16) It is the winning entrant’s responsibility to arrange transport of any bike purchased, as well as the registration of the same with the appropriate authority. The winning entrant shall also be responsible for insuring the bike purchased.

 

  • 17) We make no representation or warranty in relation to the prize provided and we accept no responsibility for any loss, expense, damage or injury which is suffered or sustained in connection with winning, or use of the prize, except for any liability which cannot be excluded by law.

 

  • 18) The prize value is in the euro currency. AeroCloud takes no responsibility for any fluctuations in prize values due to currency exchange rates at the time of the prize giveaway.

 

 

Publicity and Personal Information

  • 19) All personal information provided by entrants when entering the Promotions will be used by AeroCloud for the purposes of administering and fulfilling the Promotions and always in accordance with the privacy policy located at https://AeroCloudsystems.com/privacy-policy/.

 

  • 20) Where you have indicated your consent to receiving communications from AeroCloud about our offers, products, special offers, promotions and services, as part of entering a Promotion:
    • your email address will be added to our electronic mailing list accordingly;
    • any personal data you provide will be processed in accordance with the General Data Protection Regulation (GDPR) and the Data Protection Act 2018 and associated laws;
  • 21) The prize winner may be required to participate in reasonable publicity arising out of the prize giveaway.

 

Anti-Bribery

22) At all times during the prize giveaway, AeroCloud shall comply with all applicable laws, statutes, regulations relating to anti-bribery and anti-corruption including but not limited to the Bribery Act 2010, Foreign Corrupt Practices Act 1977 and the Bribery Act 1962.

 

23) Specifically in the United States, all federal employee (“Indemnitor”) who enter the prize giveaway agree to indemnify, defend, and hold harmless AeroCloud its affiliates, officers, directors, employees, and agents (collectively, the “Indemnitees”) from and against any and all claims, liabilities, damages, penalties, fines, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to any violation or alleged violation of the Foreign Corrupt Practices Act (FCPA), 15 U.S.C. §§ 78dd-1, et seq., the Bribery Act of 1962 (18 U.S.C. §

201), or any other applicable anti-bribery or anti-corruption laws of the United States, resulting from the actions, omissions, or representations of the Indemnitor.

24) The Indemnitor represents and warrants that they have not and will not, directly or indirectly, offer, promise, authorize, or give anything of value to any foreign official, government entity, or any other party in violation of applicable anti-bribery laws in connection with any business dealings involving the Indemnitees.

25) This indemnification shall not apply where the claim arises solely from the Indemnitee’s own direct and wilful misconduct.

 

 

General

  • 26) AeroCloud may vary these Terms and Conditions at any time at its absolute discretion if reasonably required to do so. Variation of these Terms and Conditions is without liability to any entrant or other person.
  •  

    27) All AeroCloud decisions relating to the prize giveaway are final. No discussions or correspondence with entrants or any other person will be entered into.

  •  

    28) Except as specifically set out herein and to the maximum extent permitted by law, all conditions, warranties and representations expressed or implied by law are hereby excluded.

  •  

    29) In the event that any provision of these Terms and Conditions or any are held to be illegal, invalid, void or otherwise unenforceable, it shall be severed from the remaining provisions which shall continue in full force and effect.

  •  

    30) These Terms and Conditions shall be construed in accordance with and governed by the laws of England and Wales.
